Terms and Conditions

In connection with You submitting to Us any literary, audio, or visual work (“the Work”), You hereby agree to the following terms and conditions, which constitute an agreement between The Plot Pictures FZ-LLC (“Us/We/ “Our”) and You.

1. Representations:

You represent that the work

i)is original, created solely by You and/or You have obtained prior written authorisation to act on behalf of any co-creators of the Work, and that You have full power and authority to submit the Work to Us;

ii)does not: (a) infringe, misappropriate, or violate the intellectual property, publicity, privacy, or other proprietary, rights of any third party; (b) harass, or advocate harassment of, a third party;

iii)is not threatening, obscene, defamatory, libellous, unlawful or promotes or encourages illegal activity; and

iv) is not subject to any threatened, pending, or current claims, actions, or lawsuits.

2. Review and use of the Work

You acknowledge and agree that:

i)You are submitting the Work voluntarily on a non-confidential basis and no confidential or fiduciary relationship is intended or created between us by the submission of the Work;

ii)if and to the extent the Work is protected by copyright law, You are not granting Us the right to use the Work unless otherwise agreed by You and Us in a separate agreement [Option Agreement];

iii)We are not agreeing to refrain from, or to compensate You for, the use of any elements of the Work which are not protected by copyright laws, including, by way of illustration only, ideas, historical or factual matters or other public domain elements or aspects of the Work;

iv)You have not previously submitted or disclosed the Work to Us and We shall not be under any obligation to You if We do not desire to use the Work for any purpose;

v)We shall have no obligation to review, use, comment on, or return to You, any material submitted to Us;

vi)You are not entitled to, and We are not obliged to pay You, any compensation in return for receiving, or reviewing, or providing You any comment on, the Work;

vii)We may seek independent consultation or third party review of the Work and, if We do, We shall have no liability to You for any infringement of Your intellectual property rights by any such third party;

viii) neither Your submission to Us, nor anything in this Agreement, shall be deemed to limit or restrict Our rights to, nor prohibit Our use of, works created by others (collectively, “Third Party Works”) that are submitted to, or acquired by, Us, prior to or after Your submission of the Work;

ix)Our use of Third Party Works containing elements similar to or identical with those contained in the Work shall not oblige Us to negotiate with You or entitle You to any compensation if We have an independent right to use such Third Party Works; and

x) You shall indemnify and hold Us harmless from and against any and all claims, expenses, losses, causes of action, judgments, or liabilities (including, without limitation, reasonable outside attorneys’ fees) that may be asserted against Us or incurred by Us at any time in connection with the Work or any use of it, including without limitation those arising from any alleged breach of the warranties and promises given by You in this Agreement.

3. Entire agreement: This Agreement constitutes the entire understanding and no other agreement, written or oral, express or implied, exists between You and Us with respect to the Work. The invalidity of any provision shall not affect the remaining provisions. Any references to Us shall be deemed also to refer to Our subsidiaries and affiliated corporations, companies under common ownership or control with Us, and Our directors, officers, agents, employees, lessees, licensees, successors and assigns.

4. Governing law and jurisdiction: This Agreement shall be construed in accordance with the laws of the Emirate of Dubai, and any mediation, suit, or other proceeding relating to this Agreement must be filed or entered into only in the Courts of Dubai.
